1. Agreement to Terms

By accessing or using the CLOUDIX AI website (cloudixai.com) or any of our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

These terms apply to all visitors, users, and clients of CLOUDIX AI.

2. Description of Services

CLOUDIX AI provides done-for-you AI automation systems for businesses. Our services include:

• AI Agents: automated lead capture, follow-up, and appointment booking systems
• AI Calling Agents: voice-based lead qualification and outreach automation
• AI UGC Influencers: AI-generated content, social media posts, and ad creatives
• AI Personal Avatars: face and voice cloning for automated video content
• Strategy and setup: done-for-you configuration, deployment, and ongoing optimisation

Services are delivered as described at time of agreement. Specific deliverables, timelines, and scope are confirmed in individual client agreements.

3. No Guarantee of Specific Results

While we are confident in our systems and work hard to deliver measurable results, CLOUDIX AI does not guarantee specific revenue outcomes, lead volumes, conversion rates, or business results.

Results depend on many factors outside our control, including market conditions, your existing business processes, quality of your offer, and the level of collaboration during setup and optimisation.

Our 90-day performance guarantee (where applicable) refers to measurable improvement in lead response time, booked appointments, or content output, not guaranteed revenue growth. Specific guarantee terms are outlined in individual client agreements.

4. Client Responsibilities

To allow us to deliver effectively, clients agree to:

• Provide accurate and complete information about their business during onboarding
• Review and approve system designs and configurations in a timely manner
• Provide necessary access to tools, CRMs, and platforms as required for integration
• Use the systems and services in compliance with applicable laws and platform terms
• Not use our services to send spam, engage in deceptive practices, or violate any third-party terms of service

5. Acceptable Use

You agree not to use CLOUDIX AI services or website to:

• Violate any applicable local, national, or international law or regulation
• Transmit or distribute unsolicited commercial communications (spam)
• Impersonate any person, business, or entity
• Engage in any activity that damages, disables, or impairs our systems or those of third parties
• Attempt to gain unauthorised access to any part of our systems or services

6. Payment Terms

Payment terms are agreed individually with each client and confirmed in writing before work begins. Generally:

• Setup fees are due before project commencement
• Monthly retainer fees are billed on a recurring basis as agreed
• Invoices are due within the payment window specified on each invoice
• Late payments may result in service suspension

Note: Formal payment terms, refund conditions, and cancellation policies will be specified in individual client service agreements. This section serves as a general placeholder until standard agreements are published.

7. Intellectual Property

All content on the CLOUDIX AI website, including copy, design, graphics, and code, is owned by or licensed to CLOUDIX AI and may not be reproduced without permission.

AI-generated content and systems created for clients remain the property of the client upon full payment of applicable fees, subject to any tool or platform licensing restrictions.

8. Limitation of Liability

To the fullest extent permitted by law, CLOUDIX AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, including but not limited to loss of revenue, loss of data, or loss of business opportunity.

Our total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the client to CLOUDIX AI in the three months preceding the claim.

9. Third-Party Services

Our services integrate with or depend on third-party platforms including but not limited to Supabase, EmailJS, Calendly, and various CRM and communication tools. CLOUDIX AI is not responsible for the availability, accuracy, or performance of these third-party services.

10. Modifications to Terms

We reserve the right to update these Terms of Service at any time. The date at the top of this page will reflect the most recent version. Continued use of our website or services after changes constitutes acceptance of the updated terms.

11. Governing Law

These terms are governed by applicable law. Any disputes shall be resolved through good-faith negotiation first. If unresolved, disputes may be submitted to the appropriate jurisdiction as agreed in individual client contracts.
